Terms of Service

Welcome to Syncad. Please read these Terms of Service carefully before using our platform.

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "User"), and Syncad (Metaonus Technologies) ("we," "us," or "our"), concerning your access to and use of the Syncad Platform. The "Platform" or "Services" includes our mobile applications (Syncad Parents, Syncad Teachers, Syncad Driver) and our web-based administration portals.

By downloading, installing, accessing, or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Services.

1. Description of Services

Syncad provides a suite of educational management and communication tools designed for academic institutions.

  • Syncad Parents: Enables parents/guardians to view academic progress, track school bus locations, and communicate with staff.
  • Syncad Teachers: Enables educators to manage attendance, grading, assignments, and parent communications.
  • Syncad Driver: Enables authorized transportation staff to navigate routes, broadcast GPS locations, and log trip incidents.
  • Admin Portals: Enables school administrators to orchestrate overall school operations, student enrollment, staff directories, and financial records.

Role of the Platform: We provide the software infrastructure. We do not verify the accuracy of academic grades, attendance logs, or disciplinary records. The educational institution using Syncad remains solely responsible for the content entered and distributed through our Platform.

2. Eligibility & Account Registration

  • Account Authorization: Access to the mobile apps is typically provisioned by your participating school. You must be an authorized parent, legal guardian, registered student, teacher, driver, or staff member to use the Services.
  • Account Credentials: You must complete the registration process by providing current, complete, and accurate information (e.g., via OTP). You are entirely responsible for maintaining the confidentiality of your account PIN and for any and all activities that occur under your account.
  • Notification of Breach: You agree to notify us or your school administrator immediately of any unauthorized use of your account or any other breach of security.

3. Acceptable Use & User Conduct

You agree to use the Platform only for lawful purposes. You agree NOT to:

  • Submit false, misleading, or deceptive information, or impersonate another person or school official.
  • Use the communication features to harass, abuse, insult, harm, defame, slander, or intimidate any teacher, student, parent, or driver.
  • Upload or transmit viruses or any other type of malicious code that will or may affect the functionality or operation of the Services.
  • Attempt to gain unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform.
  • Reverse engineer, decompile, disassemble, or attempt to derive the internal architecture, source code, or underlying algorithms of our mobile applications or web portals.
  • Interfere with or circumvect our security measures, rate limiting firewalls, or role-based access controls.

4. Privacy Policy

We care about data privacy and security. By using the Platform, you agree to our Privacy Policy, which outlines how we collect, use, and share your data as a data processor for your educational institution.

5. Intellectual Property Rights

Unless otherwise indicated, the Platform and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile applications on wireless electronic devices owned or controlled by you, and to access and use the Platform strictly in accordance with the terms and conditions of this license.

6. App Store & Google Play Store Applications

The following terms apply when you use the Platform obtained from either the Apple Store or Google Play (each an "App Distributor"):

  • You acknowledge that these Terms are concluded between you and us only, and not with the App Distributors.
  • You must comply with applicable third-party terms of agreement when using the Platform (e.g., your wireless data service provider).
  • The App Distributors have no obligation whatsoever to furnish any maintenance or support services with respect to our mobile applications.

7. Third-Party Content & Intermediary Role

The Platform acts as a conduit for information generated by schools. Any circulars, announcements, assignments, or fee structures posted via the Platform are the sole responsibility of the school. Syncad is an intermediary and holds no liability for disputes arising between parents, teachers, drivers, or the school administration concerning the content circulated.

8. Disclaimer of Warranties

The platform is provided on an AS-IS and AS-AVAILABLE basis.

You agree that your use of the Platform and our Services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Platform and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive to ensure 99.9% uptime, we make no warranties or representations about the accuracy or completeness of the Platform's content or reliability of live GPS tracking mechanisms, as environmental factors (e.g., poor cellular network coverage along a bus route) may disrupt real-time data delivery.

9. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Platform, even if we have been advised of the possibility of such damages.

10. Term and Termination

These Terms shall remain in full force and effect while you use the Platform. We reserve the right to suspend or terminate your account and access to the Services at any time, for any reason—including but not limited to, breach of these Terms or upon request by your registered educational institution.

Upon account termination, you must cease all use of the Platform and delete the mobile applications from your devices.

11. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Platform at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.
